Terms of Service

These Terms govern the Service.

These Terms of Service (“Terms”) govern access to Empire LLM’s websites, applications, interfaces, model-routing features, research tools, APIs, and related services (collectively, the “Service”). By creating an account, clicking to accept, purchasing access, or using the Service, you agree to these Terms and our Privacy Policy and Cookie Policy.

If you use the Service for a company or organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Service.

The Service is intended for people at least 18 years old and legally able to enter a binding contract. We do not knowingly permit children under 13 to use it.

Keep your account under your control.

You must provide accurate information, protect your password, provider credentials, and session, and promptly tell us about suspected unauthorized access. You are responsible for activity through your account unless applicable law says otherwise.

• Do not share credentials in a way that defeats plan or account limits.
• Do not sell, transfer, or sublicense account access without written permission.
• Use reasonable security for any device or system connected to the Service.

We may require verification, impose reasonable usage limits, or refuse registration to protect the Service and its users.

You control what you submit.

“Content” means prompts, messages, files, feedback, configuration data, and other material you submit, plus outputs returned to you. You retain whatever ownership rights you have in your inputs. You represent that you have the rights and permissions needed to submit them and that doing so will not violate law, confidentiality duties, or anyone else’s rights.

You grant Web5 Labs a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process, display, and otherwise use your inputs only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the Service; comply with law; and enforce these Terms. This license ends when content is deleted from active systems, except for limited backup, security, legal, and compliance retention.

To the extent permitted by law and subject to third-party rights, Web5 Labs assigns to you any rights it may have in outputs generated specifically for you. Outputs may not be unique, and others may receive similar material. This assignment does not guarantee that an output is protectable, non-infringing, or free to use.

The models can be persuasive and wrong.

Empire LLM coordinates probabilistic AI systems. Outputs may be inaccurate, incomplete, outdated, biased, offensive, fabricated, or substantially similar to other content. Rankings, consensus, citations, confidence indicators, Trust Signal, and synthesis features are aids—not proof of truth, safety, legality, originality, or fitness for a particular purpose.

You are solely responsible for evaluating outputs and for decisions, actions, publications, code deployments, communications, or other uses based on them. Use qualified human review and primary sources where appropriate.

• Do not use output as the sole basis for medical, legal, financial, employment, housing, credit, insurance, education, safety, or other high-impact decisions.
• Verify citations, calculations, code, facts, permissions, and security implications before use.
• Disclose AI-generated content where law, policy, contract, or professional standards require it.
• Do not use output about a person for a decision with legal or similarly significant effects without lawful authority and appropriate human review.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB5 LABS IS NOT RESPONSIBLE FOR MODEL OUTPUTS OR FOR LOSS, HARM, OR LIABILITY ARISING FROM YOUR RELIANCE ON, PUBLICATION OF, OR USE OF OUTPUTS.

Use the system lawfully and do not attack it.

You may not use the Service to:

• break the law, violate another person’s rights, or breach a duty of confidentiality;
• create or distribute malware, credential theft, destructive code, or instructions intended to cause harm;
• exploit, endanger, sexualize, or abuse a child or vulnerable person;
• harass, defraud, impersonate, deceive, or unlawfully discriminate;
• circumvent safeguards, rate limits, plan restrictions, authentication, provider controls, or security measures;
• probe vulnerabilities without written authorization, disrupt the Service, scrape it at unreasonable volume, or reverse engineer protected portions except where law permits;
• use outputs or personal information for unlawful surveillance, social scoring, or prohibited high-impact automated decisions; or
• submit content you do not have the right to process.

We may investigate suspected misuse and preserve or disclose information when reasonably necessary to protect users, Web5 Labs, third parties, or the Service, consistent with our Privacy Policy and applicable law.

One interface, multiple independent services.

The Service may route content to model, search, speech, authentication, infrastructure, benchmarking, and payment providers, including providers you connect with your own API key. Those services are independent of Web5 Labs and may have separate terms, privacy practices, safety rules, geographic limits, rate limits, and charges.

We do not control and are not responsible for third-party content, models, services, availability, security, data handling, or acts and omissions. Provider names and marks belong to their owners; integration does not imply endorsement. You are responsible for your provider accounts, credentials, charges, permissions, and compliance with provider terms.

Know what your Empire purchase includes.

Prices, features, and payment timing are shown at checkout. Unless checkout expressly says otherwise, Empire tiers are one-time account upgrades—not subscriptions—and model-provider credits, API usage, and third-party charges are not included. Payments may be processed by Stripe or another disclosed payment provider.

You authorize the stated charge and agree to provide accurate billing information. Taxes may apply. Except where required by law or expressly stated at checkout, purchases are final and non-refundable once access is granted. We may correct pricing errors, reject or cancel a transaction before fulfillment, and change future prices or features without retroactively changing a completed purchase.

Features that rely on third parties may change or stop if a provider changes its services. A tier does not guarantee perpetual access to any particular model, provider, feature, or capacity.

The platform and brand remain ours.

The Service, including software, design, workflows, orchestration logic, interfaces, documentation, trademarks, and original content, is owned by Web5 Labs or its licensors and protected by law. Subject to these Terms, we give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service.

If you send feedback or suggestions, you grant Web5 Labs a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you without permission.

For claimed copyright infringement, email team@empirellm.com with identification of the work, the allegedly infringing material and its location, your contact details, required good-faith and accuracy statements, and your signature.

Services evolve; access can end.

We may add, modify, limit, suspend, or discontinue all or part of the Service, including models and features. We may suspend or terminate access when we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay, used the Service fraudulently, or when required for security, provider, or legal reasons.

You may stop using the Service at any time and may request account deletion by contacting us. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms—will survive termination.

We may update these Terms. Material changes will be posted with a new effective date and, where required, additional notice. Changes apply prospectively. Continuing to use the Service after the effective date means you accept the revised Terms.

The legal limits of the Service.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WEB5 LABS AND ITS AFFILIATES, LICENSORS, PROVIDERS, AND PERSONNEL DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, UNIQUE, ACCURATE, OR SUITABLE FOR YOUR PURPOSE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB5 LABS AND ITS AFFILIATES, LICENSORS, PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; OR DAMAGES ARISING FROM OUTPUTS, THIRD-PARTY SERVICES, UNAUTHORIZED ACCESS, OR INTERRUPTION, EVEN IF ADVISED SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID WEB5 LABS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

Some jurisdictions do not allow certain exclusions or limits, so parts of these clauses may not apply. Nothing excludes liability that cannot legally be excluded.

Indemnity

If you use the Service on behalf of a business or commercially, you will defend, indemnify, and hold harmless Web5 Labs, its affiliates, and their personnel from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your content, use of outputs, violation of these Terms or law, or infringement of another person’s rights. We may control the defense, and you will reasonably cooperate.

Raise issues early.

Before filing a formal claim, you and Web5 Labs agree to send written notice describing the dispute and requested resolution and try in good faith for 30 days to resolve it. Send notice to team@empirellm.com.

These Terms are governed by the laws of the U.S. state in which Web5 Labs LLC is organized, without regard to conflict-of-law rules, except that mandatory consumer-protection laws in your home jurisdiction continue to apply. Courts with jurisdiction where Web5 Labs has its principal place of business will have exclusive jurisdiction unless applicable law gives you the right to bring a claim elsewhere. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any claim must be brought within one year after it arose unless a longer period is required by law.

The rest of the agreement.

These Terms and incorporated policies are the entire agreement between you and Web5 Labs about the Service. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; we may assign them with a merger, reorganization, sale of assets, or by operation of law.

Neither party is liable for delay or failure caused by events beyond reasonable control, except payment obligations. Headings are for convenience. “Including” means “including without limitation.” Electronic notices and transactions satisfy writing requirements to the extent permitted by law.
